EXTENDED CLASS PERIOD: Robbins Geller Rudman & Dowd LLP Files Class Action Lawsuit Against York Space Systems, Inc. and Announces Opportunity for Investors with Substantial Losses to Lead Class Action Lawsuit

SAN DIEGO, Oct. 19, 2026 (GLOBE NEWSWIRE) -- Robbins Geller Rudman & Dowd LLP announces that it has filed a class action lawsuit seeking to represent: (i) all purchasers of York Space Systems, Inc. (NYSE: YSS) common stock in or traceable to York Space’s January 2026 initial public offering (the “IPO”); and/or (ii) all purchasers of York Space common stock between January 29, 2026 and August 13, 2026, inclusive (the “Class Period”). Captioned Teamsters Local 710 Pension Fund v. York Space Systems Inc., No. 26-cv-05344 (D. Colo.), the York Space class action lawsuit charges York Space, certain of York Space’s top executives, directors, controlling shareholder, and underwriters of the IPO with violations of the Securities Act of 1933 and/or the Securities Exchange Act of 1934. A previously filed case is captioned Ianelli v. York Space Systems Inc., No. 26-cv-04074 (D. Colo.).

CASE ALLEGATIONS: York Space is a major aerospace and defense contractor. Substantially all of York Space’s revenue comes from U.S. government contracts for satellite systems that detect missiles and other threats from space and relay the relevant data to military assets around the globe. York Space’s largest customer is the Space Development Agency (“SDA”) which has formally been part of the U.S. Space Force since October 2022. The complaint alleges that in its January 2026 IPO, York Space sold approximately 18.5 million shares of common stock at a price of $34.00 per share.

The York Space class action lawsuit alleges that defendants made materially false and misleading statements because they failed to disclose the following adverse facts that existed at the time of the IPO and/or during the Class Period: (i) that York Space had failed to provide satisfactory performance under its contracts with the SDA, including as a result of technical defects in York Space’s technologies, software deficiencies, schedule delays, and the failure to timely establish minimum viable capabilities; (ii) that the Pentagon had canceled funding for Tranche 3 of the Transport Layer of the Proliferated Warfighter Space Architecture (“PWSA”) in its proposed fiscal year 2026 budget; (iii) that the Pentagon’s funding decision was due at least in material part to York Space’s inadequate performance; (iv) that funding for Tranche 3 of the Transport Layer had not been appropriated by Congress for fiscal year 2026 and that Congress was poised to deny the material provision of such funding; (v) that the amount and likelihood that York Space would be awarded additional contracts or federal funding commitments in connection with the PWSA’s Transport Layer, the Space Data Network, or the Golden Dome generally has been materially impaired; (vi) that York Space was not on track to achieve its revenue guidance and such guidance lacked a reasonable basis in objective fact; and (vii) that statements about York Space’s technological capabilities, track record of performance, business operations, and prospects were materially misleading.

On May 14, 2026, York Space announced its first quarter 2026 results, revealing that revenues for second quarter 2026 would be lower than originally expected due to supply chain issues, but that the second quarter 2026 shortfall would be offset in the second half of 2026 at least in part by “unprecedented bid activity in other areas.” On this news, the price of York Space common stock fell 17%.

Then, on August 5, 2026, York Space announced that, effective August 14, 2026, defendant Kevin Messerle was stepping down as CFO and current CAO Brian Frantz would serve as interim CFO. On this news, the price of York Space common stock fell 17%.

Finally, on August 13, 2026, York Space announced its second quarter 2026 results, revealing that York Space’s backlog had fallen 8% sequentially to just $592 million by quarter’s end. York Space also cut its calendar year 2026 revenue guidance by $180 million at the midpoint of its prior range, a reduction which exceeded the $171 million that York Space had originally provided as guidance for all new contracts in calendar year 2026. On this news, the price of York Space common stock fell an additional 5%.
